Copyright and Other Intellectual Property

Better maintains Better Accountability and is the owner or the authorized user of all text, images, graphics, photos, animation, music, sounds and other materials contained within Better Accountability. The materials contained within Better Accountability, including, without limitation, any copyrights, trademarks, service marks, and all other proprietary materials, are protected by the U.S. and international copyright laws and treaty provisions, trademarks laws, and other proprietary rights laws. Better also owns copyright in the selection, coordination and arrangement of the material contained within Better Accountability.

The material contained within Better Accountability is provided by Better only for lawful uses by customers, Better employees, and members of the general public. The material may not be copied, republished, incorporated into another website or reproduced (whether by linking, framing, or any other method), transmitted, distributed, uploaded, posted, used to create a derivative work or exploited in any other way without the express written consent of Better.

Digital Millennium Copyright Act

Better respects the intellectual property rights of others and expects its users to do the same. Pursuant to the Digital Millennium Copyright Act of 1998 (the “DMCA”), Better will respond expeditiously to notices of alleged copyright infringement on Better Accountability that are reported to Better.

Better prohibits copyright infringing activities on Better Accountability and will, if properly notified of infringing files, expeditiously remove or disable access to such files. Upon receipt of the notice, Better will take whatever action, in its sole discretion, it deems appropriate, including removing or disabling access to the material without prior notice, to the extent it is technologically possible given the nature of Better Accountability.

Notice: If you are a copyright owner, or agent thereof, please report alleged copyright infringements taking place on or through Better Accountability or other Better services by completing a DMCA notice of alleged infringement and delivering it to Better. Upon receipt of a notice, Better will take whatever action, in its sole discretion, it deems appropriate, including removal of the challenged content from Better Accountability.

Counter notice: Once an appropriate notice is received, Better will follow the procedures provided in the DMCA, which set forth a notice and takedown process, subject to the alleged infringer’s right to submit a counter-notification claiming lawful use of the copyright or other intellectual property interest that is allegedly infringed. Please note that any notices or counter notices received may be sent to Better’s legal advisors.

Please provide the following information to us:

Identify the copyrighted work claimed to have been infringed, or, if multiple copyrighted works on Better Accountability are covered by this Notice, a representative list of the copyrighted works that are claimed to have been infringed.

Identify the material or activity claimed to be infringing or to be the subject of infringing activity and provide information reasonably sufficient to locate the material, including, at minimum, if applicable, the URL.

Provide information reasonably sufficient to permit us to contact you, such as a mailing address, telephone number, and, if available, e-mail address.

Restricted Access

Access to certain areas of Better Accountability is restricted. Better reserves the right to restrict access to certain areas of Better Accountability, or at its discretion, this entire Website.

If Better provides you with a user ID and password to enable you to access restricted areas of Better Accountability, you must ensure that the user ID and password are kept confidential. You alone are responsible for your password and user ID security and for all activities that occur using your password and user ID.

Better may disable your user ID and password at its sole discretion without notice or explanation.

Website Content and Material

The information and materials contained in Better Accountability, including but not limited to these Terms of Use and any product or service information, are subject to change without notice. You are deemed to be apprised of and bound by any such changes. Please review the date last updated, as your use of Better Accountability after that date will constitute your consent to the changes made. Not all products and services are available in all geographic areas. Your eligibility for particular products and services is subject to final determination and acceptance by us.

Termination

You agree that, without notice, Better may terminate these Terms of Use, or suspend your access to Better’s service or the content, with or without cause at any time and effective immediately. These Terms of Use will terminate immediately without notice from Better if you, in Better’s sole discretion, fail to comply with any provision of these Terms of Use. Better shall not be liable to you or any third party for the termination or suspension of the service or the content, or any claims related to such termination or suspension.

Choice of Law

You agree that these Terms of Use shall be governed by and interpreted in accordance with the laws of the State of Delaware, without giving effect to principles of conflicts of law. Any legal action or proceeding arising under these Terms of Use will be brought exclusively in courts located in New Castle County, Delaware, and you hereby irrevocably consent to the personal jurisdiction and venue therein.

Waiver and Severability

You must not use Better Accountability in any way that causes, or may cause, damage to or impairment of the availability of accessibility of Better Accountability or in any way which is unlawful, illegal, fraudulent or harmful, or in connection with any unlawful, illegal, fraudulent or harmful purpose or activity.

You must not use Better Accountability to copy, store, host, transmit, send, use, publish or distribute any material which consists of (or is linked to) any spyware, computer virus, Trojan horse, worm, keystroke logger, rootkit or other malicious computer software.

You must not conduct any systematic or automated data collection activities on or in relation to the website without Better’s express written consent. This includes:

  • scraping
  • data mining
  • data extraction
  • data harvesting
  • ‘framing’
  • article ‘Spinning’

You must not this Website or any part of it to transmit or send unsolicited commercial communications.

You must not use this Website for any purposes related to marketing without the express written consent of Better.

You shall not sign up under a false name.

Secured Areas

Access to and use of password protected and/or secure areas of Better Accountability is restricted to authorized users only. Unauthorized persons attempting to access these areas of Better may be subject to prosecution.

Telephone Call Monitoring and Recording

Authorized employees or agents of Better may monitor and record all or portions of your telephone calls to Better for quality control, customer service, employee training, security, legal compliance, and other lawful purposes. Your consent will be ongoing and need not be confirmed prior to, or during such monitoring or recording, except to the extent applicable law expressly requires otherwise.

Communications

By using the service or the content of Better Accountability, you consent to any form of recording and retention of any communication, information and data exchanged between you and Better or its representatives or agents.

Introduction

Better, PBC (“Better”) operates the productivity.better.so (“Better Accountability”). The following Privacy Policy outlines the privacy considerations enacted by Better relating to the use of your personal information.

Website Visitors

Like most website operators, Better collects non-personally identifying information of the sort that web browsers and servers typically make available, such as the browser type, language preference, referring site, and the date and time of each visitor request. Better’s primary purpose in collecting non-personally identifying information is to better understand how visitors use its Better Accountability. From time-to-time, Better may release non-personally-identifying information in the aggregate, e.g., by publishing a report on trends in the usage of Better Accountability. Better also collects potentially personally identifying information like Internet Protocol (“IP”) addresses for logged in users. Better only discloses logged-in user and commenter IP addresses under the same circumstances that it uses and discloses personally-identifying information as described below.

Customer Information

Certain visitors to Better Accountability choose to interact with Better in ways that require Better to gather personally-identifying information. The amount and type of information that Better gathers depends on the nature of the interaction. For example, Better asks visitors who sign up for a service offered at Better for their email addresses. In this case, Better collects such information only insofar as is necessary or appropriate to fulfill the purpose of the visitor’s interaction with Better. Better does not disclose personally-identifying information other than as described below. Visitors can always refuse to supply personally-identifying information, though doing so may prevent them from engaging in certain website-related activities.

If you have registered in one of the services offered by Better and have supplied your email address, Better may occasionally send you an email to tell you about new features, solicit your feedback, or just keep you up to date with what’s going on with Better and our services. If you send Better a request, Better reserves the right to publish it in order to help Better clarify or respond to your request or to help Better support other users. Better takes all measures reasonably necessary to protect against the unauthorized access, use, alteration or destruction of potentially personally identifying and personally-identifying information.

Potential Sale of Certain Non-Personally-Identifying Information

Better gathers users’ non-personally identifiable demographic information (the “Data”) in a form that does not permit direct association with any specific individual. This Data includes the users’ geographic location, gender, age range, income range, social media “friend” count or “followers” and level of education. This Data is appended to the actions users make in order to create a marketing-data information product that may be used for any purpose. This includes selling the Data to other companies that typically use this Data in their businesses to evaluate and tailor their client relations programs and marketing efforts and better understand user behavior and improve their products, services, and advertising.

Aggregated Statistics

Better may collect statistics about the behavior of visitors on Better Accountability. Better may display this information publicly or provide it to others. However, Better does not disclose personally identifying information other than as described herein.

Cookies

A cookie is a string of information that a website stores on a visitor’s computer, and that the visitor’s browser provides to the website each time the visitor returns. Better uses cookies to help Better identify and track visitors, their usage of Better Accountability, and their website access preferences. Better visitors who do not wish to have cookies placed on their computers should set their browsers to refuse cookies before using Better Accountability, with the drawback that certain features of Better’s websites may not function properly without the aid of cookies.

Your Rights as a California Resident

Residents of California have the right to request from us certain information with respect to the types of personally identifying information we share with third parties for those third parties’ direct marketing purposes and the identities of the third parties with whom the business has shared such information during the immediately preceding calendar year. To exercise your rights, you may make one request each year by emailing us at support@better.so. Your request should specify your full name and the email address you used when submitting personal information to us.

Your Rights as a Vermont Resident

We do not share nonpublic personal financial information we collect about Vermont residents to non-affiliated third parties except for our everyday business purposes or as otherwise permitted by law. If you wish to revoke any authorization to share your nonpublic personal financial information, which you have provided to us by entering into our user agreement, please contact us at support@better.so. Please note, however, that we will not be able to provide you with services through Better without the ability to share this financial information.

International Visitors

This Service is hosted in the United States. If you are an international visitor, you should note that by providing your personal information, you are: (i) permitting the transfer of your personal information to the United States which may not have the same data protection laws as the country in which you reside; and (ii) permitting the use of your personal information in accordance with this Privacy Policy.

Privacy Policy Changes

Better reserves the right to make changes to this Privacy Policy at any time in its sole discretion. When Better does, Better will let you know by appropriate means such as by posting the revised policy on this page with a new “Last Updated” date.
